Choosing the right business structure is one of the first real decisions a founder makes. Sole proprietorship is quick but exposes personal assets. A partnership firm shares that liability. A private limited company gives you a separate legal identity, protects owners from most personal liability and puts you in a stronger position with banks, investors and large customers.

Structures We Register

Private Limited Company (Pvt Ltd)

Most common structure for startups, agencies, trading businesses and small manufacturers. Requires at least two shareholders and two directors, and can have up to fifty members. Limited liability protection, transferable shares, structured governance.

Single Member Company (SMC)

A private limited company with only one shareholder. Ideal for solo founders and consultants who want the protection of a company without adding a co-owner. Requires a nominee director for continuity in case of death.

Public Unlisted Company

For businesses that intend to raise capital from a wider group of shareholders without listing on the stock exchange. Requires at least three directors and seven shareholders.

Partnership Firm

Registered under the Partnership Act 1932 with the Registrar of Firms. Faster and cheaper than incorporation, useful for small professional practices and traders. Partners remain jointly and severally liable.

Name matters more than founders think. SECP rejects names that are too similar to existing companies, imply a licensed activity you cannot perform (like bank, insurance, university), or contain restricted words. We check availability before you get attached to a name.

  • Recent utility bill or rent agreement for registered office address
  • Proposed company name (with two backups)
  • Principal line of business
  • Authorised and paid up capital
  • Shareholding pattern
  • Email and mobile of each proposed director

Timeline

Standard incorporation is completed within 4 to 7 working days once documents and payments are in order. Expedited processing is available at higher SECP fees where you need it done faster.

After Incorporation

Getting the incorporation certificate is only step one. To actually operate you need a few more things sorted out, all of which we can handle:

  • Company NTN and IRIS access
  • Company bank account opening documentation
  • Sales tax registration if applicable
  • Employer registration with EOBI, SESSI and PESSI if hiring
  • PSEB registration for IT and IT enabled services (optional but useful)
  • Filing of Form 45 and other statutory returns during the year

Annual SECP Compliance

Companies must file Form A (annual return) and Form 29 (change in particulars of directors, whenever it changes) with SECP every year. Financial statements must be prepared and, in most cases, audited by a chartered accountant. We manage this compliance calendar so nothing is missed.

FAQs

How much capital do I need to start a private limited company?

There is no minimum paid up capital requirement under the Companies Act 2017 for a normal private limited company. Founders often start with a nominal amount and increase authorised capital later.

Can a foreigner register a company in Pakistan?

Yes. Foreign nationals can be shareholders and directors, subject to security clearance in certain sectors and Board of Investment requirements for wholly foreign owned companies.

What is the difference between a private limited company and a partnership firm?

A company is a separate legal person with limited liability. Partners in a firm are personally liable for the firm's debts, and the firm has no legal identity apart from its partners.
